Corporate Paralegal at Transystems Corp

Job Description:

For more than 50 years, TranSystems has provided engineering and architectural planning, design and construction solutions to enhance the movement of goods and people across today’s integrated transportation infrastructure. Headquartered in Kansas City, Mo., its professionals in more than 30 offices throughout the U.S. perform a broad range of services to all sectors of the transportation and federal marketplaces. Services are delivered throughout the asset life cycle, from concept to construction to long-term operations, maintenance and rehabilitation.

TranSystems is seeking an experienced career paralegal to report to the General Counsel and work out the company’s Kansas City headquarters.  The position will support a wide range of corporate matters with an emphasis on integration related to merger and acquisition activities, and the development and support of databases and related systems and templates for records associated with the corporate entities and organizational structure.  The position will work directly with other departments including Finance, Human Resources, and operational groups throughout the various offices throughout the US.  Specific responsibilities and skills include the following:



  • Maintain, create, and manage databases, templates, and on-line and related systems for tracking licensing, training, trademarks and copyright, record retention, contracting systems,  and related associated with the management of corporate entities    




  • Support merger and acquisition activities related to due diligence integration of contracting, corporate entity management,  name changes, consents, contract novation and assignment and similar functions    




  • Assist with licensing and registration issues related to engineering and construction




  • Coordinate document production related to litigation and subpoenas  




  • Support contracting groups with administration functions, including insurance related matters      




  • Provide back-up for administrative staff and support for other departments             




  • Provide transactional support in the review of client contracts, Requests for Proposals (RFPs),  and amendments to standard contracting templates




  • Assist with updating and maintenance of standard templates, policies, libraries and other training and reference materials            



Qualifications:

- BA degree with strong academic record or AA degree and at least 7 years of relevant experience

- ABA-certified paralegal program or paralegal certificate preferred

- 5+ years of relevant experience in a corporate or in-house legal environment

- Experience drafting and reviewing legal documents

- Excellent analytical skills with demonstrated ability to analyze legal advice and then apply it to business needs

- Proficient computer skills and knowledge of standard software (Microsoft) systems, teams, spreadsheets, and related systems.

- Strong interpersonal skills, ability to work in a remote-work environment, a commitment to professionalism, integrity and collegiality, and the ability to work on a wide range of legal matters.

- Initiative to address problems and work with the General Counsel and supervisors to address coordination with the various business groups and departments.  

- Ability to work proactively and independently and follow-through on the completion of projects in a fast paced environment

- Attention to detail and excellent writing, organizational and communication skills

- Ability to effectively work with a variety of internal teams, management levels, cultures, and personalities

- Handle and prioritize work assignments from numerous sources
