Overview



Serves as Corporate Secretary for the Beazer subsidiaries and Assistant Secretary for Beazer Homes USA, Inc.; keeps accurate books and records; makes sure all required state filings are accurate and timely done and prepares corporate documentation as required; manages preparation for quarterly board meetings; serves as Project Manager for special projects such as corporate debt offerings and organizing due diligence records in the event of an acquisition or corporate restructuring


Primary Duties & Responsibilities




  • Prepares for board meetings each quarter by collecting materials for the Board Briefing Book, supervises the preparation of the briefing book and ensures that the materials are complete and correct and that all details such as travel plans, food preparation and meeting space are addressed prior to the meeting.

  • Manages specific projects for the Board, such as verifying director attendance and ensuring the accuracy of director fee payments; collects and analyzes required annual questionnaires and certifications from the Directors; updates and distributes board policies; maintains an annual calendar of recurring board action items; collects and ensures the security of sensitive materials; and reviews the Proxy, 10-K and other filings for accuracy of corporate information.

  • Manages Corporate Signature Authority Policy by reviewing requests from the divisions and Corporate and preparing the appropriate corporate documentation; monitors ongoing compliance with the Policy; provides guidance on interpretation of the Policy to Executives, the Legal Department and the divisions; provides corporate authority documentation to the divisions, outside counsel and title companies to facilitate closings and other transactions upon request.

  • Acts as Project Manager for special corporate projects by establishing the timeline, identifying responsible parties, defining the workflow and monitoring the ongoing progress of projects to ensure completion by the required deadline, as well as resolving related issues with upper management or outside counsel.

  • Provides corporate training sessions on Signature Authority or other topics for the regions/divisions when requested or in response to specific issues identified in a particular office.

  • Assists with closings for corporate debt financings, land acquisitions and related financing by providing corporate documentation, reviewing documents, collecting and organizing closing documents, obtaining signatures, participating in conference calls, and ensuring timely delivery of all documents required for the closing.

  • Reviews all license applications and renewals, and all other applications filed with state agencies for accuracy of corporate information. Works with local counsel and the divisions to resolve licensing issues, including creating new entities when needed.

  • Coordinates requests for legal review of contracts submitted to the legal department; maintains the Contract Tracker Database by making changes to the database structure and entering information on existing and new contracts; monitors compliance with the Contract Review & Signature Authority Policy; maintains paper and electronic records of contracts executed by the Company; assists in review of contract terms and monitors review requests assigned to outside counsel

  • Responds to and researches immigration issues for the VP of Employee Services.

  • Responds to intellectual property questions and monitors projects assigned to outside counsel.

  • Maintains the Legal Library and corporate records room

Skills & Abilities




  • Bachelor's degree or Associate's degree and a Paralegal Certificate from an ABA accredited school

  • 4-5 years of experience in a law firm or corporate legal department

  • Self starter, must possess excellent organizations skills and be detail oriented

  • Ability to effectively communicate with senior management and individuals throughout the Company

  • Ability to manage and interact with outside vendors, such as law firms and third party providers

  • Excellent writing and communication skills

  • Excellent computer skills, including word processing, spreadsheets and database management

  • Must be able to conduct legal research utilizing the Web or other legal research software

  • Willingness to travel 25% of the time
