Job Description:

The Corporate Counsel is a key member of the Global Legal Department located in Raleigh, NC focused on global company manufacturing operations, supply chain and strategy. This high-profile position collaborates with Global Merz Aesthetics colleagues in Global Manufacturing and Supply Chain, R&D, and Regulatory.
The ideal candidate will have background in supporting the manufacturing operations for medical devices and/or pharmaceutical products. The candidate will also support some product development, including medical device development and design. The Corporate Counsel must be able to counsel in-house business clients and think strategically to help the business manage risk to maximize the value and effectiveness of the legal function. The right candidate will be a self-starter with a solution-oriented approach, comfortable with managing global projects and with making decisions in a fast-paced business environment.
Together with the Global Legal team based in Frankfurt and Raleigh, the Corporate Counsel will work to support consistent and effective delivery of legal services throughout the Global Aesthetics business. Additional duties include reviewing and negotiating a wide variety of intercompany agreements; advising on regulatory matters; and navigating complex business issues for Global company-wide arrangements.


Responsibilities




  • Support Global Business:



    • Collaborate with Assistant General Counsel in Raleigh and Legal Counsel in Frankfurt, Germany on effective delivery of legal services globally to support Global Manufacturing and Supply Chain, including manufacturing and supply agreements, quality agreements, supplier validation, equipment purchase agreements, site audit support.




  • General Legal Counsel and Advice:



    • Provide legal counsel to Global functions on day-to-day legal matters.




  • Business Agreements:



    • Review and negotiate third party and intercompany agreements.




  • Risk Mitigation:



    • Counsel on overall legal risk mitigation 




  • IP:



    • Review Agreements with attention to intellectual property as it relates to protecting the business portfolio with contract manufacturers and suppliers.




  • Legal Department Efficiencies & CQI:



    • Work with Associate General Counsel to identify opportunities for continuously improving the effectiveness of the global legal function including, for example 1) client training; 2) client self-services; 3) systems/technology upgrades; 4) management reports; and 5) consistent global legal best practices.




  • Import/Export:



    • Have or develop working knowledge of U.S. import/export regulations of medical devices and pharmaceutical products

Minimum Qualifications:



  • Graduation from an ABA accredited law school; licensed to practice law in at least one state in good standing

  • Excellent academic credentials

  • At least 5-7 years in the practice of law

  • Experience with manufacturing, supply chain and R&D Agreements

  • Experience in developing policies and procedures


Preferred Qualifications:



  • Law journal experience
