Job Summary:

Reporting directly to Director, Global IP, the position will be responsible for drafting and negotiating a wide variety of agreements, and currently handle all aspects of legal support for the R&D organization, including drafting and managing agreements, including research agreements and clinical agreements, as well as drafting and supporting agreement work for the Operations team, including procurement and service agreements. 

Essential Functions & Accountabilities:


  • Draft, negotiate, and review various types of agreements (including clinical agreements, joint research agreements, material transfer agreements, confidentiality agreements, license agreements, and procurement and service agreements) required by the R&D organization and other parts of the business. 

  • Advise the organization on legal issues concerning confidentiality, indemnification, data privacy, intellectual property and other substantive legal matters relevant to negotiating agreements.

  • Collaborate with, and provide timely advice to, business teams to ensure alignment on all legal and business terms and escalate issues for resolution and approval, including agreement obligations and revisions.

  • Collaborate with internal and outside counsel with respect to protection of information, including data and personal information, in compliance with applicable privacy laws.

  • Assist maintaining and enhancing contract management system.

  • Participate in R&D meetings as necessary to effectively assist the R&D organization, especially with respect to third party collaborations.

  • Work with legal team to develop and maintain policies, agreement templates, training and guidelines to ensure legal compliance and operational efficiency.

  • Develop solutions designed to mitigate risk, including coordinating with company IP team to address ownership, license and other IP rights related to business arrangements. 

  • Clearly and efficiently communicate information and legal advice to business stakeholders in an pragmatic and logical way. Ensure internal clients receive sound, practical and timely legal advice and support

  • Assist members of the legal department with other legal needs of the company as necessary

  • A team player who likes to learn and teach, and can self-manage priorities, time, and projects.

Travel: Domestic and international travel, as necessary 

Qualifications

Knowledge, Skills and Abilities:


  • Prior experience drafting and negotiating clinical trial agreements and research and development agreements on a global project is preferred.

  • Demonstrated organizational skills and ability to manage multiple projects at once, drive execution and meet deadlines.

  • Clear communication, interpersonal, and negotiation skills and ability to provide proactive strategic and tactical guidance while maintaining strong and supportive working relationships across the organization.

  • Requires the ability to communicate and present clearly, both verbally and in writing, with technology and business personnel at all levels. 

  • Must be articulate, diplomatic, friendly, possess good business and personal judgment. 

  • Must be a self-starter and proactive with an eye towards continuous process improvements and commercially attractive solutions. 

  • Familiar with international issues affecting global companies, especially with drafting and negotiating R&D research and clinical agreements.

  • Familiar with medical device technology and patents.

  • Strong Microsoft Office Suite skills and familiarity with iManage Document Management System preferred.

  • Knowledge of data privacy requirements under the EU General Data Protection Regulation, among others.

Work Environment:


  • Normal home-office environment or office environment (minimum 2 days in office)

  • Prolonged sitting in front of a computer.

Experience:


  • 7+ years relevant experience.

Education:


  • Admitted (and in good standing) to practice as an attorney in the United States (and/or another jurisdiction in which the person can qualify for registration as an in-house counsel) 

  • Juris Doctorate received from an accredited law school (or similar degree from an educational institution outside of the United States).

  • Bachelor’s Degree from an accredited four-year university (or similar degree from an educational institution outside of the United States).

For U.S. locations that require disclosure of compensation, the starting base pay for this role is between $175,243 and $233,657 and may include cost of living adjustments.  The actual base pay includes many factors and is subject to change and modification in the future.  This position may also be eligible for other types of compensation and benefits.
