Job Summary:

The Senior Corporate Paralegal will be a key member of the corporate department providing ongoing support in corporate governance, entity management, SEC filings and equity administration and be involved in projects impacting areas across the business.  The ideal candidate will help drive process improvements and streamline operations and will regularly provide legal support to the treasury, finance and other departments.   

Essential Functions & Accountabilities:


  • Support securities law compliance and the preparation of SEC filings (e.g., 10-Ks, 10-Q’s, 8-Ks, Section 16 reports, proxy statements and other filings).

  • Prepare and distribute annual Director and Officer Questionnaires and related proxy items.

  • Assist with annual stockholder meeting process.

  • Assist in the administration of the company’s insider trading policy.

  • Help prepare materials for Board meetings and maintain corporate records and minute books for the company.

  • Manage subsidiary management and corporate governance for CooperCompanies’ subsidiaries worldwide, including maintaining corporate and compliance calendars and ensuring timely filings.

  • Serve as primary point of contact for all corporate governance matters relating to domestic and foreign subsidiaries, including liaising with outside service providers and law firms.

  • Provide support for intercompany dividends, capital contributions and reductions, intercompany loans, subsidiary formations, reorganizations and dissolutions.

  • Assist team with quarterly certification process.

  • Help manage compliance with US and international laws for equity incentive plans.

  • Assist with general corporate matters and other special projects or tasks on an as-needed basis.

Qualifications

Knowledge, Skills and Abilities:


  • Must be a team player with a commitment to professionalism and collaboration.

  • Must have the ability to prioritize, manage multiple projects concurrently, meet deadlines and work in a fast-paced environment.

  • Problem-solver with a positive attitude, strong organizational skills, attention to detail, instinctively good judgement and excellent verbal and written communication skills

  • Current notary public certificate (preferred). 

  • Law firm experience desirable.

  • High proficiency in MS Office applications (e.g., Word, Excel, PowerPoint), Workiva and Diligent

Work Environment:


  • Normal office environment.

  • Prolonged sitting in front of a computer.

Experience:


  • Minimum of 7 years’ relevant experience at a global public company.

  • Experience in corporate subsidiary governance matters 

Education:


  • Bachelor’s degree

  • Paralegal Certificate

  • Certified Equity Professional (CEP) (preferred)

For U.S. locations that require disclosure of compensation, the starting base pay for this role is between $113,648 and $151,531 and may include cost of living adjustments.  The actual base pay includes many factors and is subject to change and modification in the future.  This position may also be eligible for other types of compensation and benefits.
