What are the essential duties and responsibilities of this role?


  • Support senior attorneys leading PECO deals, including M&A, joint ventures, corporate financings and real estate acquisitions/dispositions.

  • Maintain and update state filings and registrations, minute books, and other corporate records.

  • Draft corporate resolutions and certifications.

  • Draft, prepare and file formation and dissolution documents.

  • Help manage PECO’s Corporate Structure of its 400+ entities.

  • Support various aspects for Board of Directors meetings.

  • Draft quarterly and annual meeting agendas and preparation of board books.

  • Assist with filing various SEC public disclosures.

  • Assist with organizing and reviewing corporate policies.

  • Create initial drafts of form agreements, letters, and other documents for review by the GC or AGCs.

  • Maintain a library of pre-approved form documents, contract clauses, templates, and historical documents, and add or revise material as needed.

  • Interpret and respond to requests for information, certificates and other documents as appropriate.

Education / Experience Requirements:


  • Minimum of an Associate’s degree in paralegal studies; Bachelor’s degree preferred.

  • Prior experience in law as a paralegal or law clerk.

  • Strong interpersonal skills with the aptitude to interact with senior management. 

  • Detail-oriented with strong organizational, writing, and project management skills

  • Self-starter with good problem solving skills and client service orientation.

  • Team player with a positive attitude and willingness to learn

  • Experience working with CT Corporation and its services preferred.

  • Proficient in Microsoft Office and database software.
