Description

The Legal Specialist is responsible for providing on-going support to the Bank's Loan Modification Department and the Legal Department. This position will report directly to the Bank's Senior Lending Counsel and provide assistance in transactional matters and entity reviews.



RESPONSIBILITIES



  • Review internal Bank credit memos and the corresponding loan documents for existing business and commercial loans to understand the requested modifications to be made to the loan documents.

  • Assist in drafting and reviewing documentation for business and commercial loan transactions, deposit products and services, consumer agreements and disclosures, loan purchase / sale transactions, etc.

  • Effective and timely communication with Bank's Legal Department and internal business partners regarding the documentation for business and commercial loan transactions.

  • Maintain a proficient knowledge of State and Federal banking laws and regulations through ongoing training.

  • Responsible for reviewing customer's legal entity documents including by-laws, operating agreements, articles of incorporation, etc. to assist with the preparation of loan documents.

  • Prepare entity review memo based on review of customer's legal entity documents.

  • Effective and timely communication with Bank's internal business partners regarding questions or missing information relating to the customer's legal entity documents.



QUALIFICATIONS



  • 1+ years of experience as a paralegal or legal assistant in a law firm or in-house, or as a loan document specialist with a financial institution preferred.

  • Paralegal certification a plus but not required.

  • Ability to clearly document and support judgments, decisions and procedures.

  • Ability to retain a broad knowledge of tasks performed in compliance functions.
