Associate General Counsel (LGL-INCR-06152021-001)

Introduction:

The Associate General Counsel for Products and Intellectual Property operates out of the corporate headquarters in Research Triangle Park, NC. This position reports directly to the General Counsel.The primary responsibilities of this position include supporting Product Development, Innovation, Intellectual Property, In Bound Licensing, Production Procurement and Open Source. We are seekingsomeone with 10+ years of experience as a licensed lawyer and a license to practice before the Patent Office.

The TGCS Legal Department is comprised of generalists that work seamlessly as a unit. Each lawyer in our department is assigned responsibility to support multiple functional areas and senior executives in our company, but as needs arise, we work together to solve problems and facilitate company objectives. From time to time, each of our lawyers maywork on a variety of contracts, employment matters, managing litigation and other adversarial matters, international corporate governance and regulatory compliance.

Responsibilities:


  • Work with TGCS Development and the Invention Review Board to identify worthwhile patents, copyrights and trademarks. Coordinate the filings and maintenance of those assets. Achieve the target number of filings set each year. Manage this work within the budget allowed in the fiscal year.

  • Prep some number of patent applications each year as time allows.

  • Develop skills in company tools and use these to perform this work.

  • Identify trends in our industry and customer requirements that are ripe for IP to focus our patent efforts and strengthen our portfolio.

  • Work with Development to draft and negotiate inbound and outbound License Agreements.

  • Work with Procurement to draft and negotiate production procurement agreements.

  • Review and clear Open Source modules as requested.

  • Assist Marketing with trademarks and contracts for trade shows.

  • Resolve Adversarial Matters, as needed.

  • Support company Product Compliance activities.

  • Conduct legal research as needed.

  • Follow-up with business colleagues to ensure understanding and compliance.

  • Draft and negotiate a variety of commercial contracts, including some complex agreements.

  • Monitor evolving areas of law.

  • Supervise outside counsel retained to assist with your matters. Manage these matters within the approved budget.

  • Assist Chief Legal Officer & General Counsel on certain matters as requested.

  • Become a key contributor in a dynamic company

  • Perform other related duties as assigned.


Required Skills:

  • Juris Doctorate Degree required with 10+ years of experience practicing law or related work for the U.S. Patent Office.

  • Hold a valid license to practice law in North Carolina and a license to practice before the U.S. Patent Office.

  • Demonstrated knowledge of intellectual property and licensing, including management of an I.P. portfolio

  • Experience drafting and negotiating complex transactions

  • Ability to evaluate open source licenses

  • Ability to analyze issues well.

  • Ability to exercise sound judgment.

  • Ability to provide practical advice.

  • Ability to work well with others (clients and colleagues should seek their advice and follow it)

  • Ability to gather relevant facts, understand applicable law, and determine an appropriate course of action.

  • Ability to recognize and resolve problems

  • Strong written and verbal communication skills. Confidence in dealing with charismatic clients.

  • Ability to recognize when you should seek assistance from others

  • Ability to perform administrative responsibilities, including managing projects within a budget

  • Given the global responsibilities of the role, this person will need to be available via phone and email during off hours.

  • Self-motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast-paced environment

  • Business minded and problem solver mentality.
