The Opportunity

Commercial Transactions Group

Draft, review, and negotiate commercial transactions.

Assistant General Counsel

Description:


  • The Assistant General Counsel will be part of the Commercial Transactions Group and will report to the Associate General Counsel managing the group.

  • The successful candidate must have extensive experience drafting and negotiating complex commercial transactions, and significant experience in working on strategic agreements such as master purchase agreements with customers, software and technology license contracts, and collaboration agreements.

  • Build relationships and serve as a trusted advisor using legal and business acumen, while adhering to legal standards.

  • Collaborate with IP counsel and compliance counsel to ensure that identified risk is managed properly.

  • Handle and complete special assignments or projects at the direction of the Associate General Counsel or the Chief Administration and Legal Officer.

  • Experience in drafting or reviewing government contracts and customer agreements highly desirable.

Qualifications:


  • Candidate must be an active member of a US state bar.

  • Minimum experience 10+ years with complex high technology and intellectual property commercial transactions.

  • The candidate will possess excellent oral and written communication skills as well as superior time-management and organizational skills.

  • Must have proven ability to handle difficult situations and solve problems creatively in a very fast-paced work setting.

  • Must have the ability to work independently and as part of a team; a superior work ethic and commitment to professionalism.
