Key, strategic role in general corporate and securities and corporate governance-related matters, including preparation of materials for the Board of Directors and its committees; preparation and review of filings with the Securities and Exchange Commission, New York Stock Exchange and SIX Swiss Exchange; providing substantial support in ESG-related matters; leading corporate entity/global subsidiary management; and conducting legal research and analysis.
Principal Duties and Responsibilities
· Draft and review of corporate governance documents and contracts, including certificates of incorporation, bylaws, limited liability company agreements, stock registers and intercompany loan documents |
· Engage and direct the work of corporate agents and outside subsidiary management vendors |
· Provide substantial support in ESG-related matters, including conducting research, reviewing relevant materials and providing input on public disclosures |
· Manage the database of records and corporate information for all subsidiaries |
· Prepare and review Securities and Exchange Commission filings (including Forms 8-K, 10-K, 10-Q, S‑3, S‑8, SD, Section 16 filings and proxy statements) and non-financial exhibits |
· Prepare and file reports and certifications with the New York Stock Exchange and SIX Swiss Exchange |
· Support Board of Directors and Board committee meetings, including drafting agendas, resolutions, consents, minutes and other meeting materials |
· Coordinate with and field requests from internal departments (e.g., Legal, Tax, Finance, Treasury) and external service providers (including U.S. and OUS legal counsel) |
· Assist in responding to requests regarding compliance with Anti-Money Laundering and Know-Your-Customer requirements |
· Take the lead in preparing the annual conflict minerals report in coordination with Sourcing |
· Plan and coordinate the annual meeting of shareholders |
· Provide research and analytical support for ad hoc requests and projects |
· Perform general administrative duties in support of the Legal Department as needed, including related to outside counsel billing matters |
