Responsible for the oversight of the Legal, Legislative Affairs, Employment and Labor, Commercial and Government Programs Compliance, Subrogation, Special Investigations, and Internal Audit functions. The General Counsel coordinates the legal representation needs of SSMHC, its affiliates, and subsidiaries and serves as the key legal advisor to Senior Management.
Job Responsibilities and Requirements:
Imparts the mission, values, and vision of SSM Health and facilitates the integration of Continuous Quality Improvement (CQI) principles and tools.
Works collaboratively with the Regional General Counsel and System Legal Affairs staff to ensure SSM Health's structures and operations comply with relevant law, ethical business practices, and the system's mission and values.
Maintains a working knowledge of applicable Federal, State and local laws and regulations, SSM Health's Corporate Responsibility Program, Code of Ethics, and relevant System Policies and Procedures to ensure actions are consistent with SSM Health's mission and values as well as organizational and professional ethical requirements.
Functions as a subject matter expert and the System point person for all physician compensation-related matters, including but not limited to subsidies, income guarantees and compensation plans.
Performs other duties and tasks as requested by the General Counsel, Regional General Counsel and Regional/Entity Presidents and Vice Presidents.
Oversees and manages legal affairs for the Oklahoma region and its operating entities, including, advising and educating management on legal matters;providing legal advice to all regional entities on regulatory, compliance, and other legal matters; and communicating legal issues affecting the operations of the region, including applicable law and regulatory matters.
Develops internal policies and procedures for the Oklahoma region.
Performs internal audits.
Understands the legal structures, operating structures and finance structures of the Oklahoma region, analyzes current or planned activities within those structures, and identifies and directly oversees legal work affecting the Oklahoma region and/or its operating entities.
Directs the legal services provided by supervised staff, including: mentoring supervised staff to develop requisite skills and breadth of legal knowledge; training/managing staff and holding staff accountable for performance; and continuous monitoring and measuring of staff performance compared to appropriate benchmarks.
Negotiates arrangements for the provision of legal services by retained outside counsel, including description of the scope of work and fee arrangements, and ensures that the region receives value for its expenditures for legal services by monitoring the work performed by retained outside counsel for quality, efficiency, performance and results.
Maintains in-depth knowledge of legal issues related to CMS requirements, State Health Department regulations, medical staff issues, and fraud and abuse matters for the assigned SSM regions.
Manages litigation matters for the assigned SSM region.
Provides oversight, as requested, on major system and regional activities that have legal implications, including, but not limited to, collaborations and due diligence efforts related to mergers and acquisitions.
Develops, drafts and reviews SSM Health system and regional policies, as requested.
KNOWLEDGE, SKILLS AND ABILITIES:
Understanding of the mission and values of SSM Health and the Franciscan Sisters of Mary.
Leadership qualities consistent with SSM Health's Mission and Core Values.
The completion of a Juris Doctorate from an accredited law school (health law focus preferred); member in good standing of a state bar.
Seven to ten plus years' experience in the area of health care regulation and/or law.
In-depth knowledge of health care and provider operations, exempt organization requirements, health care regulation and compliance, fraud and abuse, false claims act, and accreditation standards.
Utmost discretion in maintaining appropriate confidentiality, as well as knowledge of attorney-client privilege.
Excellent analytical and problem-solving skills as well as interpersonal, organizational, and communication skills, both verbal and written.
Ability to manage professionals and motivate for excellence in performance through, among other ways, integrating CQI principles and tools into work processes.
Ability to manage significant work load and prioritize projects appropriately.
Ability to manage regional legal budget and maintain operations within it.
Juris Doctorate degree from an accredited law school and member in good standing of a state bar association
