Transactional Paralegal at Phillips Edison & Company LTD

What are the essential duties and responsibilities?


  • Support senior attorneys leading PECO deals, including M&A, joint ventures, corporate financings and real estate acquisitions/dispositions.

  • Prepare closing binders for such transactions.

  • Maintain and update state filings and registrations, minute books, and other corporate records.

  • Draft corporate resolutions and certifications.

  • Draft, prepare and file formation and dissolution documents.

  • Manage PECO’s Corporate Structure Chart setting forth the ownership structure of its 400+ entities.

  • Update and maintain CT Corp. entity management database.

  • Manage administrative aspects for Board of Directors meetings.

  • Draft quarterly and annual meeting agendas and preparation of board books.

  • Assist with filing various SEC public disclosures.

  • Assist with organizing and reviewing corporate policies.

  • Create initial drafts of form agreements, letters, and other documents for review by the GC or AGCs.

  • Maintain a library of pre-approved form documents, contract clauses, templates, and historical documents, and add or revise material as needed.

  • Interpret and respond to requests for information, certificates and other documents as appropriate.

Education / Experience Requirements:


  • Minimum of an Associate’s degree; Bachelor’s degree preferred.

  • 3+ years of experience in law as a paralegal or law clerk.

  • Strong interpersonal skills with the aptitude to interact with senior management. 

  • Detail-oriented with strong organizational, writing, and project management skills.

  • Proficient in Microsoft Office and database software.
