Job Description:

We are seeking an associate general counsel to join our legal team in our Iselin, NJ office. As associate general counsel, the new attorney will report to Mott MacDonald s (MM) North American general counsel. This position will support client groups across the United States working directly with our executive leadership team on legal matters.

Duties include, but are not limited to the following:

* Managing professional liability claims and litigation;

* Review, prepare and manage contracts, change orders, and contract amendments between MM and clients, vendors, contractors, subconsultants, and joint venture partners on design-bid-build and design-build projects;

* Participate in due diligence and negotiation of purchase and sale of MM acquisition targets;

* Assist in the annual negotiation of premium and policy language on MM insurance policies;

* Review and negotiate MM office and equipment leases;

* Assist in the development and implementation of MM's Risk Management Program;

* Review and manage MM's non-disclosure agreements;

* Assist in the periodic review and update of MM's employee manual and code of conduct;

* Provide guidance and assist in the management of state and federal guidelines including Federal Acquisition Regulations (FARs);

* Manage MM licensing requirements in various states and jurisdictions;

* Manage outside counsel while controlling legal expenses;

* Provide guidance and advice regarding personnel and human resources matters;

* Prepare Board of Director resolutions and minutes;

* Assist in the management of MM's corporate structure;

* Advise on ethical matters; and

* Coordinate legal and tax advice relative to transactions in international jurisdictions.

Candidate Specification:
We invite applications from candidates with the following experience:

* A Juris Doctorate from an accredited law school and membership in at least one State Bar is required

* Twenty (20) years or more experience in matters directly relating to:

* Contracts

* Licensing

* Commercial matters

* Professional liability defense of engineers and architects

* Insurance

* Mergers and acquisitions

* Commercial office leasing

* Human resources issues

* Experience within the engineering and architecture industry is required.

* Experience in drafting, reviewing and editing legal documents e.g. contracts, change orders, or contract amendments.

* Able to identify, assess and manage risk inherent to projects in the engineering/architecture consulting industry.

* Excellent interpersonal and communication skills with the ability to communicate effectively, concisely and confidently with all levels of management.

* Ability to manage multiple priorities and deadlines with various stakeholders

* The ability to train other staff in subject matter areas.
