As a corporate paralegal in the Legal Department’s Office of the Corporate Secretary, you will report to the Assistant General Counsel—M&A and Securities and work independently with minimal supervision. This challenging role requires someone who is confident, intellectually curious and service driven, with exceptional organizational skills, and the poise and professionalism to engage with the CEO, senior executive staff, internal clients (e.g. Legal Department, Tax Department, Accounting & Finance Department, HR Department) located in the United States and across the globe, and outside clients and suppliers. You will work on a variety of complex and varied duties, analyzing situations and using your strong initiative to prevent and resolve problems.
Responsibilities as the Corporate Paralegal
Specific ongoing duties assigned to this role include but are not limited to:
Domestic and International Subsidiary Management
Execute existing (funded) project to convert existing global subsidiary management database from Mitratech Secretariat to Diligent Blueprint.
Prepare and coordinate documents and information to ensure all domestic and international subsidiaries remain in good standing and comply with applicable corporate governance requirements.
Monitor, coordinate and assist with activities relating to organization and maintenance of overall corporate entity structure (including subsidiary board meetings and changes due to mergers, acquisitions, reorganizations, qualifications, etc.).
Respond to and collaborate with various domestic and international departments within Equifax (including Tax and Treasury) and outside Equifax (including third party corporate secretary firms) with respect to internal cash flows and subsidiary governance.
Organize and maintain hard copy and electronic files of minute books, acquisition documents and other key documents/contracts for all subsidiaries.
Assist with Administration of Insider Trading Policy
Monitor and help manage insider-trading policy related questions and issues directed to the Office of Corporate Secretary.
Collaborate with HR department regarding equity administration issues.
Support implementation of quarterly trading windows, including taking the lead on processing trade requests and communicating decisions.
Assist with implementation employee training under insider trading policy.
Serve as liaison with Enterprise Risk and Compliance Office, to ensure compliance with entity-related obligations under various legal and regulatory requirements.
Provide support in connection with preparation of electronic and hard copy meeting materials for the Equifax Inc. public company Board of Directors and its committees, including on-site support for off-site meetings.
Serve as back-up to other members of the Office of Corporate Secretary with respect to corporate governance and regulatory compliance responsibilities, including filing of Section 16 reports.
What makes you a good fit for this role?
5-7 years prior related experience; or equivalent combination of education and experience
Prior experience with entity/subsidiary management. Experience with international subsidiary management is a plus.
Detail oriented, with excellent analytical and organizational skills.
Ability to initiate, prioritize and manage multiple projects simultaneously, meet and anticipate frequent deadlines in a timely manner, and manage projects through from start to finish.
Strong verbal and written communication skills; ability to communicate technical information to non-technical audiences – either staff or client.
Proactive and service-oriented work style; ability to anticipate the needs of the job function and take appropriate actions.
Excellent interpersonal skills and the ability to handle sensitive and confidential information.
Thorough computer skills. Experience with database management preferred.
Excellent proof reading skills and the ability to check documents for accuracy, clarity and consistency.
