Who we are

Shellpoint Mortgage Servicing (SMS) is one of America's top-five non-bank mortgage-servicing companies. What is mortgage servicing? Our clients are businesses that own mortgage loans (such as banks and real estate investment firms). On their behalf, we manage (or "service") their loan portfolios, which means that we collect homeowners' mortgage payments, pay their tax and insurance bills, and help homeowners in default to get current.

The Corporate Counsel is an integral part of the Legal Team with exposure to a wide range of legal issues. Primary responsibilities include providing legal advice and counsel on to business stakeholders; drafting, revising, and negotiating a wide variety of contracts; and assisting with oversight of contract management process.

Principal Duties


  • Review, negotiate, draft and/or edit contracts and contractual provisions in varying substantive areas.

  • Provide legal guidance and advice to leaders and other internal stakeholders on legal issues that arise in the mortgage lending and servicing industry.

  • Draft, edit and/or review legal documents, in addition to contracts, such as letters, policies, and responses to subpoenas.

  • Prepare and present trainings to internal stakeholders on relevant legal issues

  • Draft and negotiate a variety of contracts (including software and other agreements involving vendor relationships, confidentiality agreements, etc.).

  • Ensure compliance with policies and procedures and regulatory requirements for contract processing, management, negotiations, and maintenance/repository of contracts.

  • Establish and maintain timely and accurate communication channels with other business units to ensure contract process is effective.

  • Perform legal research, investigate matters, provide advice and memoranda/opinions.

  • Performs related duties as assigned by supervisor.

Education and Experience Requirements


  • A Juris Doctor from an accredited law school.

  • Active member in good standing in the bar of at least one U.S. state/jurisdiction.

  • Minimum 3-5 years firm or in-house experience with a focus on contract negotiation.

Knowledge, Skills, and Ability Requirements


  • Strong analytical, organizational, critical thinking, and problem-solving skills.

  • Ability to work independently, with limited required direction and guidance.

  • Knowledge of consumer finance regulations.

  • Strong verbal and written communication skills, including the ability to interact and relate to personnel at all levels within the organization and to effectively support and defend unbiased findings and legal opinions to management.

  • Capable of leading or facilitating meetings with Director level (and higher) attendees.

  • Ability to work and assist in the development of a collaborative team environment.

  • Advanced knowledge of Microsoft Office (PowerPoint, Excel, Word, etc.).
