Scope

Under broad direction from the Vice President & Deputy General Counsel, Global Legal Operations and North America (“NAGC”), will act as the legal business partner for select global and US/Canada business units/functions (“Client BUs”) among other responsibilities.

Primary Duties:


  • Act as a member of the senior management teams for Client BUs

  • In addition, this role will have other responsibilities, including supporting specific customer relationships and business groups/functions identified by the NAGC from time to time

  • Oversee legal and compliance issues for the Client BUs including the resolution of broad and complex legal issues which have a major impact on Client BUs. 

  • Review, draft and negotiate various types of commercial contracts including but not limited to distribution contracts, intellectual property-related contracts, product development agreements, and supply agreements

  • Provide practical, business-savvy counseling in all areas of commercial transactions. Act as a thought leader on complex transactions issues

  • Identify continuous improvement opportunities related to the product and business development and contracting processes, including (1) identifying, developing and implementing best business practices, and (2) updating forms, development of tools, playbooks and processes

  • Assist in the development and execution of strategies and tactics that enable the businesses to achieve their objectives.  To do this, the successful candidate must be able to proactively identify and acceptably mitigate risks to the business such as through preventive law processes/programs, with a primary focus on product development issues and commercial transactions

  • Be knowledgeable about the other applicable areas of the law, which may include antitrust, intellectual property, technology, M&A, environmental, etc., in order to advise the business on the matters that are most likely to arise in the business and have a relationship with internal or external legal advisors that can provide technical legal expertise if necessary

  • Conduct contract, antitrust, compliance and other field training

  • Dispute avoidance, and pre-litigation dispute, counseling in accordance with the company's policies

  • Work collaboratively across regions with other members of the law department, outside counsel and other non-traditional legal resources and take leadership on project implementation

  • Deputize as requested for the NAGC

Job Specifications:


  • Law degree and licensed member of at least one U.S. state bar association.

  • Minimum of 12 years of commercial/transactional experience in a law firm, a large private or publicly traded corporation, or both.  Experience as a transactional attorney with manufacturing and/or automotive industry experience is a plus.

  • Ability to build positive relationships with management and other members of the legal team, with demonstrated ability to influence outcomes positively.

  • The successful candidate will have a track record of helping businesses be successful in achieving their business plans. 

  • The successful candidate must be a disciplined legal drafter/writer and possess a problem-solving, “can do” orientation with a demonstrated ability to simplify complex situations and familiarity working within a matrixed environment

  • Extensive experience managing outside counsel on a wide variety of matters.

  • Excellent written and oral communication skills.

  • Ability to make solid and pragmatic judgment calls under pressure while, as needed, acting independently and with minimal managerial direction and oversight.

  • Is a forward-looking lawyer, with a deep understanding of the businesses they support and:

    • A demonstrated capability for innovative thinking and challenging the status quo and leading organizational changes;

    • The credibility to function as a senior management team member of the Client BUs; and

    • Demonstrates an unquenchable curiosity and be able to make connections and draw conclusions from incomplete information
