Job Purpose:


The position is located in the company’s headquarters in Florham Park, NJ.  The legal team currently consists of two attorneys and one paralegal in addition to the General Counsel. The principal responsibilities of the Senior Counsel will be to provide legal and regulatory advice to all our internal commercial business units and core functional groups, including HR and IT.  This includes drafting and negotiation of commercial contracts; analysis to ensure compliance with applicable laws and regulations - most notably the Anti-Kickback Statute, HIPAA, antitrust and state privacy laws - and company policy.  MHA’s business is growing and dynamic, and the legal work is varied.  The environment is fast-paced and open and the legal department philosophy is to be trusted partners as well as legal counsel to the business.  The successful candidate will be adept at learning about the industry and competitive environment in which MHA operates; willing and able to handle a variety of matters and issues; eager to develop a proficiency in new areas of the law; and able to communicate effectively with all members of the employee base, including the President, the executive team and the national sales teams.

Essential Duties & Responsibilities:



  • Deliver prompt legal advice to a variety of internal clients at various levels within the Company

  • Draft, review and negotiate commercial contracts, including purchase agreements, license agreements, membership agreements, HIPAA business associate agreements and confidentiality agreements

  • Provide advice regarding he structuring of transactions, alliances and payments to ensure compliance with laws and regulations applicable to MHA business

  • Create, review and update company templates as needed

  • Assist in the development of processes to ensure compliance with applicable laws, regulations, MHA policy and the Roper Code of Conduct

  • Assist in preparation and delivery of training to employees

  • Support acquisition activity, including due diligence document review


 


Minimum Qualifications & Competencies:



  • JD Degree from an accredited law school

  • 5-10 years’ experience; mid to large law firm transactional experience a plus

  • Experience in advising clients in the healthcare industry, specifically in one or more of the following areas: drug distribution, managed market reimbursement programs, Pharmacy benefit management

  • Excellent communication and interpersonal skills

  • Admission in good standing in at least one state bar and if not admitted in NJ willing to secure a NJ in-house limited license.
