Our Role:

PGIM is looking for an experienced paralegal to provide support to the attorneys in the Private Placement Section of PGIM’s Law Department.  The Private Placement Section of the Law Department provides, among other things, legal support and services to PGIM Private Capital ("PPC"), a unit of PGIM, Inc. PPC manages and sources new investments for PPC's approximately $96 billion* portfolio of privately placed debt and equity investments. The successful candidate will preferably work from the PPC office located in either Chicago, IL or Newark, NJ, but we will consider candidates able to work from PPC office locations in Atlanta, GA, Dallas, TX, Los Angeles, CA, Minneapolis, MN, or New York City, NY.  The attorneys to be supported handle all legal matters arising in connection with deal origination and portfolio management for various PPC offices and groups throughout the United States. 

Your Impact:

The Paralegal will provide assistance in the documentation and administration of private placement financing, direct lending and mezzanine transactions originated by PPC for its investors (including Prudential, third-party investors and investment funds). While duties of this position will vary according to need, general responsibilities will include:


  • Preparation and review of closing documents, certificates and schedules.


  • Coordinating and assisting with closing/funding process, including liaising with external counsel and obtaining and maintaining documents for internal record keeping purposes.


  • Coordinating responses to KYC requests.


  • Assisting with withholding tax relief filings.


  • Assisting with non-disclosure agreement queries.


  • General legal research, as needed.


  • Assist in special and complex PPC and enterprise-wide projects, as needed.


Competencies Essential to Success:


  • Excellent organization and prioritization skills, and attention to detail and deadlines.


  • Excellent proofreading skills.


  • Ability to perform multiple tasks simultaneously and with minimal supervision.


  • Strong interpersonal skills and ability to effectively communicate with other law department personnel, business clients and outside counsel.


  • Ability to prepare and modify documents in Microsoft Word (Excel and PowerPoint are helpful).


  • Strong oral and written skills.


  • Proficiency in document management databases.


  • Timeliness and dependability are critical.


Education and Experience Qualifications:


  • 3+ years of prior paralegal or similar work experience with a law firm or in-house law department, preferably in corporate finance 

  • Bachelor's degree and preferably a paralegal certificate

  • Familiarity with iManage is a plus

Overtime:

Overtime will be required during peak periods.
