Essential Functions SEC filings:


  • Prepares and files or manages filing of SEC filings, as needed.

  • Participates in proxy statement process, including prepare, collect and review D&O proxy questionnaires.

  • Manages annual meeting process and ensures compliance with NYSE rules.

  • Manage all aspects insider trading/blackout period lists.

Public Company Corporate Governance:

  • Draft documents relating to Board of Directors and Committee meetings, including resolutions and other presentations and documents included in pre-read materials.

  • Update and maintain corporate minute books for legal entities (domestic and international) and as applicable, Board of Directors and Committees, including drafting resolutions, minutes and other necessary documentation.

Subsidiary Management

  • Oversee or prepare documents or coordinate with outside counsel with preparation of formation or dissolution documents, as necessary, including articles of association, bylaws, and necessary board and shareholder minutes and consents.

  • Prepare written consents, resolutions, certifications, minutes and other corporate documentation as needed for domestic and foreign subsidiaries.

  • Update and maintain database of historical, stock, officer, director and other corporate information for all subsidiaries.

  • Draft jurisdictional certificates of authority and certificates of withdrawal.

  • Prepare and file all necessary annual filings, whether domestic or international jurisdictions.

  • Evaluate the needs for and directs all aspects of foreign and domestic corporate qualifications and registrations for applicable businesses

  • Coordinate with corporate agents to evaluate the needs for annual returns, foreign qualifications, business licenses and other governmental filings as necessary to comply with local, state, national and international requirements for business operations.

  • Coordinate with finance, tax and accounting departments as needed to direct formation or annual compliance in all jurisdictions, domestic and international.

  • Engage, direct and oversee work of corporate agents and vendors.

  • Work with Treasury to provide necessary subsidiary documentation for opening or maintaining bank accounts.

  • Work with other internal departments to answer questions regarding subsidiary management.

  • Administer and manage entity database.

Other Responsibilities

  • Assist with all legal aspects of financing projects; assist with the preparation of closing documents; perform lien searches, order certificates of good standings and draft schedules and perform any other special projects.

  • Assist in-house IP attorney with trademark filings, as needed.

  • Assist with business development activities and other special projects, as needed.

  • Assist clients with completing information on tenders and other business-related questionnaires or forms.

  • Liaise with HR, Accounting, Finance, Tax, Payroll and Equity Administration on various corporate matters and coordinate with outside counsel and corporate agents.

  • Conduct all forms of business certifications, qualifications, registrations and dissolutions for U.S. subsidiaries.

  • Support and address staff and shareholder inquiries.

  • Perform other duties as assigned.

Education & Experience Requirements Paralegal certification. 4 years related experience. Proficient knowledge of legal terminology and processes. Basic understanding of matter management. Strong computer skills. Strong communication skills. Highly organized. Position Summary Under limited supervision, performs standard paralegal functions surrounding the preparation and drafting of legal documents, summarizing legal information, and providing general support to legal and corporate service. May also be involved in liaising with regulatory bodies to ensure corporate filing requirements are met. May assist the Corporate Secretary by preparing materials and carrying on the exercising of options as outlined in the corporate plan. May liaison with shareholders by providing assistance in problem resolution encountered with their share positions. Handles special projects, as assigned.
