Working in Issuer Services could mean anything from assisting shareholders with their portfolios, managing company meetings, enabling access to global markets, or supporting the highest standards of regulatory compliance across the world.

A role you will love
A Managing Director is to deliver proxy solicitation services for shareholder meetings and information agent services for corporate transactions to existing and potential clients. This is a client facing role and, as such, ideal candidates will be able to effectively engage with other advisors, senior level executives (Board, CEO, CFO, GC), institutional investors and others within the corporate governance industry.


  • Will be the primary point of contact for client engagements.
  • Make strong sales efforts to potential clients and enhancing revenue opportunities with existing clients.
  • Deliver high levels of client satisfaction and retain at least 95% of annual meeting clients each year. Client satisfaction requires anticipating client needs through direct communication. Client satisfaction also means working well with other advisors retained by clients, including lawyers, investment bankers and compensation consulting firms.
  • Seek to increase the firm's overall revenue and profitability through the pursuit of new business, including, but not limited to, calling on companies, attorneys, and investment bankers to secure new corporate clients including proxy fight and M&A-related solicitation opportunities.
  • Expected to have an expert level of knowledge regarding the proxy and corporate actions industries and related technical mechanics.
  • Comfortable and confident in speaking with clients, prospects, and industry participants (exude confidence in communications)
What will you bring to the role?
To perform this job successfully, an individual must have:

  • A Bachelor's degree, and preferably an MBA or JD.
  • At least 10 years of experience in proxy solicitation, corporate actions or in a related legal position
  • Current knowledge of SEC regulations and state laws regarding shareholder meetings.
  • Familiarity with corporate governance issues and possess an understanding of proxy advisory firms and institutional investors.
  • Ability to handle numerous client engagements simultaneously and will need to be organized, articulate and able to maintain poise during challenging, high stress events such as mergers and proxy contests.
  • Ability to manage client deliverables, recommend actions to improve the results of shareholder meetings and will generally be a trusted confidant of his or her clients. The role holder will be responsible for developing their own book of business.
  • Strong analytical and communications skills - both in writing and orally with senior executives of our clients, outside law firms, investment bankers and institutional investors providing data-driven analytical advice.
  • Strong leadership, and project management skills.
  • Comfort working in a team environment - leading small teams that service individual clients.
This role requires moderate travel and requires work outside of standard business hours.

Compensation. $129,672 - $172,000 Salary
