Senior Director, Assistant General Counsel - Commercial Transactions at Shipt, Inc.

Job Description:

At Shipt, we are transforming the grocery shopping experience and giving time back to consumers. Shipt shoppers handpick fresh groceries and household essentials, then deliver them to your door in as little as one hour.

This role will be seated in our Birmingham, AL or our San Francisco, CA office.

Shipt has a wide variety of business partners who will look to you for strategic advice and counsel as well as contract drafting and negotiating support.  In this role, you’ll:


  • Lead a team of legal professionals by setting and driving strategic priorities, making sound and timely decisions, and balancing the needs of the business with the roles and responsibilities of the team.  The Commercial Transactions Team includes approximately 3 additional team members (2 attorneys and a paralegal);


  • The Director will be responsible for growing and leading the Commercial team, creating and implementing effective process improvements, incorporating technology to increase productivity, and leveraging augmented resources appropriately. 


  • This attorney will also be a strategic partner to business clients on an array of legal issues related to supporting Shipt’s product offerings, including but not limited to, consumer products and retail partnership agreements, technology transactions, software licensing and other commercial agreements.


  • Manage all aspects of outside counsel relationships with respect to commercial transactions, including staffing, commercial support strategy, work product, and assigned budget.

COMMUNICATION: The balance of internal vs. external audience with whom the role communicates and the predominant type of communication such as explanation, influence and negotiation.

Internal:


  • Influence team members of all levels within the Shipt organization, including the executive team, by identifying and analyzing options that mitigate risk while driving business priorities;


  • Tailor message for the audience and provide quick turn advice that facilitates risk-based and informed decisions;



  • Partner with business partners of parent company, as applicable.



External:

  • Negotiate with, and influence, external audiences including Retail Partners and Third-Party Vendors. These discussions are often from positions of conflicting interests.

INNOVATION: The extent to which this role is responsible for identifying, developing and making improvements to new ideas, techniques, procedures, services or products


  • Develop and maintain contracting procedures and operational changes that increase productivity, add value, and anticipate trends in areas of responsibility.


  • Develop and provide training and self-help guides for business partners.


KNOWLEDGE: How much and what type of broad or specialized knowledge is required of this role. 


  • J.D. or equivalent from accredited law school and admitted to a state bar


  • 8+ years at a law firm or in-house capacity serving clients in complex commercial transactional matters, including technology and privacy-related contracts


  • Experience with contract lifecycle management and driving efficiencies in the contracting process, including the development of self-help resources


  • Experience with retail commercial contracts preferred 


  • Experience as a leader of people (or equivalent), including setting strategic vision, delivering results, and building a high performing, inclusive, and engaged team


  • Strong written and oral communication skills


  • Strong ability to establish effective, trusted team and client relationships


  • Strong team player who is adaptable and able to work independently in a fast-paced environment


  • Demonstrated ability to strike a sensible and practical balance between legal risks and business goals


  • Respects, appreciates and is curious about differences related to working with others; committed to developing an inclusive team
