COMPANY BACKGROUND/CULTURE

National Carbon Technologies ("NCT") is a global leader in the development and production of high value carbon products made from renewable biomass.Their renewable biochar and biocarbon products are used to produce cleaner energy, improve metals production, purify the air and water, and improve crop production for millions of people globally. NCT is headquartered in Oakdale, Minneapolis.

NCT's production technologies were developed by industry thought leaders including former scientific, technology, and engineering leads from the largest bio-products companies in the world as well as carbon experts from leading research universities.NCT's comprehensive global intellectual property portfolio provides exclusive rights regarding production, sale, and use of patented process and product technologies. NCT's innovations are protected by more than 100 issued and pending patents regarding conversion of biomass into high value carbon products that result in higher performance and lower cost products than competing technologies.

NCT's sustainability profile is advantageous for customers with requirements or preferences for sustainable products:NCT's feedstock is PEFC certified sustainable biomass. Third-party analysis has confirmed that NCT has one of the lowest life-cycle environmental footprints for commercial-scale production of carbons in the world. As a superior replacement for coal and other fossil-fuel based products, NCT serves a broad customer base in four primary markets: Energy Generation & Fuel, Metals Production, Water Purification and Agriculture

NCT operates the largest advanced biocarbon production facility in North America and has the largest production capacity in the biochar/biocarbon industry.Feedstock partnerships with large public and private suppliers provide feedstock supply chain security and a path for rapid and efficient growth. Over 1 million tons of feedstock are available to NCT annually from six major suppliers within 50 miles of the company's production facilities.

OVERVIEW

Recognized as a superior replacement for coal and other fossil-fuel based products, NCT's biocarbon products are creating significant commercial opportunity for the business, particularly in the energy and metals production markets. NCT's products provide a thermo-chemically modified alternative to fossil fuels that produce a higher yield, lower cost, and better environmental and sustainability profile. Major energy and metal companies globally are looking for this alternative as they strive to reduce their carbon footprint and environmental impact. In particular, Western Europe and East Asia are leading the way in consumption of energy products that are more sustainable with lower CO2 emissions.

NCT has secured off-take contracts in excess of $1.4 billion and has developed an active customer pipeline under term sheet or MOU in excess of $5 billion in potential revenue. The company will need to grow and scale appropriately to address this demand. A critical part of achieving this growth is the development and construction of a portfolio of processing facilities that can fulfill $multi-billion contracts with international customers.
