Contracts Manager at National Underground Group

Job Description:


The Contracts Manager's primary responsibilities will include contract review and overseeing various risk, safety and compliance matters. The Contracts Manager reports to the CFO and will review documents including customer bids and contracts, subcontracts, and non-disclosure agreements to identify issues requiring legal and/or business approval, and drive transactions to an efficient close for multiple business units within National Underground Group, Inc.'s (NUG's) family of underground infrastructure companies. In this role you will analyze contractual risks relating to all aspects of NUG's business and provide guidance regarding contract interpretation issues and advise on alternative approaches to mitigate risk. You will participate in negotiating contract terms and providing explanations when warranted. You will build and maintain effective working relationships with internal clients, including VPs, Branch Managers, Business Development Managers, Bid Manager, and our accounting and finance teams. The Contracts Manager will manage the company's relationships with insurance brokers and claims adjusters, prepare insurance renewal applications, and drive cost saving initiatives. Additionally, you will assist the Director of Safety with management and tracking of Worker's Compensation and Property Damages claims, and with ensuring the company remains compliant with third-party vendor management programs required by our customers.

ESSENTIAL FUNCTIONS/KEY ACCOUNTABILITIES:

Request for Proposals, Bid Process and Contract Review (50%)


  • Provide a comprehensive legal review of RFPs/RFQs and contracts.

  • Negotiate favorable terms for the company; clearly explain unfavorable terms to management.

  • Route all contracts for approval to appropriate parties.

  • Collaborate with and facilitate cross-team decision-making among the sales team, finance team, operations teams and other internal teams.

  • Provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients.

  • Help manage workflow for cross functional team in completing bid process.

  • Review, draft and process a variety of agreements including Supplier Agreements, MSAs, NDAs and other assorted agreements associated with sales and commercial operations.

  • Responsible for contract administration; digitize and create scans of fully executed contracts; create files for new contracts; maintain legal files.

  • Assist in developing and maintaining contracts database which captures important terms of all company agreements.

Safety & Compliance (25%)


  • Oversee contractor license registration and compliance for multiple business units and states.

  • Coordinate with Safety Department to ensure all Worker's Compensation, Property Damage, Vehicle Accidents, and Stolen Property claims are being processed in a timely manner.

  • Provide monthly reports to managers and executive team.

  • Review and ensure all compliance is up to date for all customers who require monitoring of such.

  • Coordinates Loss Run meetings

  • Run Root Cause Analysis Calls.

  • Manage and ensure our return to work program is working effectively and efficiently.

  • Administer OSHA compliance reporting and safety compliance programs.

  • Maintain registrations with third-party vendor compliance programs.

Risk Management (15%)


  • Review insurance clauses in all contracts, leases, or documents signed on behalf of the company.

  • Ensure that all necessary insurance certificates are collected from subcontractors, monitored and reviewed in order to guarantee that company is transferring risk and/or ensure that the subcontractor the company is dealing with has adequate insurance coverage.

  • Coordinate and maximize the utilization of all insurance broker and insurance company services.

  • Oversee annual renewals and communicate all company changes to broker throughout the year.

  • Identify and maximize opportunities to reduce premium costs.


Legal (10%)


  • Respond to subpoena requests under supervision of outside counsel.

  • Manage corporate governance matters such as filing state registrations and drafting board meeting minutes.

  • Manage corporate archive to preserve all critical company information.

  • Draft, review, and revise corporate policies.

  • Manage IP assets (trademarks, etc.)

  • Assist with M&A transactions, as necessary.

EDUCATION AND EXPERIENCE:

  • Bachelor's degree preferred

  • ABA approved Paralegal certificate or Certified Professional Contracts Manager (CPCM) preferred.

  • Four years working in a law firm or in a corporate legal department as a contracts manager or paralegal.

  • Experience with sales teams on commercial contracts, specifically within the construction industry.

  • Experience in the preparation, organization, and management of a variety of corporate filings and matters.

  • Adept with Excel and Microsoft Word including redlining, and other contracts lifecycle management technology.

  • Excellent problem solving, organizational, and communication skills.

  • Experience with ERP systems; Acumatica a plus.
