Purpose:

~ Assists transactional attorneys and other members of the Legal Department in the primary areas of corporate transactions and contract administration, including drafting, revising, and managing HMA, GMA, and HMNA contracts, as well as providing support on state licensing matters and legal presentations. 

 

Major Responsibilities:

~ Proactive member of the Transactional Legal Team assisting in the timely intake and response to internal client requests, distribution and collection of contract documents and project support documents for review by Associate General Counsel, Managing Counsel, Senior Counsels, Corporate Counsels and other members of the Legal Department.

~ Process, review, calendar, and delegate Legal Department Service Requests (LDSRs) as required.

~ Provide accurate and timely initial drafts of service agreements, nondisclosure agreements, vehicle loan agreements, restricted sale agreements, amendments, and similar documents from templates.

~ Preparation, compilation, and review of supplier and intercompany contracts provided by transactional attorneys, business units and Purchasing Department.

~ Accurately and timely edit and revise agreements and other documents to incorporate comments and create redlined documents.

~ Perform corporate governance tasks such as maintaining corporate minute book and preparing director/shareholder resolutions. 

~ Overall management and utilization of contract management systems using Conga/Salesforce.

~ Timely monitor and maintain existing distributor licenses, distributor branch licenses, distributor representative licenses and annual reports in assigned states.

~ Obtain and maintain individual representative information for each assigned state and ensure all are current.

~ Research and advise on special issues arising during the licensing process in assigned states.

~ Maintain a document calendar to ensure the timely filing of all renewals and reports in each assigned state and update licensing budget information.

~ Coordinate and arrange meetings, conference calls, and travel.

~ Conduct legal and internet research as directed.

~ Route documents for signatures via DocuSign or its equivalent to internal and external stakeholders.

~ Create processes and workflows that ensure productivity and conformance to best practices.

~ Act as Legal Department ambassador, including overseeing the onboarding of new employees and disseminating internal messaging to team members.

 

Authority:

~ Liaise with Purchasing Department to ensure that LDSRs contain all required information and supporting documentation.

~ Liaise with Purchasing Department to ensure that substantiation is provided for all requests for expedited processing of an LDSR.

~ Liaise with HMA/GMA/HMNA departments and suppliers as necessary to support LDSR completion.

~ Liaise with executives, HMA departments and regions as necessary to support licensing completion.

~ Liaise with various state agencies and organization as necessary to support licensing completion.

 

Education:

~ Must be a high school graduate

~ Bachelor’s degree preferred

~ Contract Administration Certification preferred

~ Salesforce CLM experience helpful

~ Current Notary Public commission preferred (or willing to obtain license at HMA expense within 3 months of hire)

 

Related Experience:

~ 4+ years of in-house, law firm, or law office experience

~ 1+ year of experience as a corporate paralegal

~ Contract administration experience directly related to contract drafting and review

~ Prior Salesforce experience or ability to learn new technology and systems quickly

 

Skill / Knowledge:

~ Detail oriented, ability to prioritize responsibilities with minimal oversight and collaborative team player

~ Superior organizational and time management skills

~ Proficient with the Microsoft Office suite (including Word, PowerPoint, Outlook, and Excel) and Adobe Acrobat Professional

~ Ability to quickly learn new computer programs and document management systems

~ Excellent written, verbal and interpersonal communication skills

~ Work independently, innovatively and efficiently in a high paced environment, handling and meeting multiple responsibilities and deadlines

 

Certification Required:

~ Paralegal Certificate
