Responsible for providing legal advice to the global Dental division on a broad range of issues including advertising and promotion, employment and labor relations, healthcare law compliance, mergers and acquisitions, product distribution, business contract negotiation and litigation.
Principal Duties and Responsibilities
Providing legal support to all division functions, including Marketing, Human Resources, Research and Development, Medical Education, Sales, Operations, Business Development and Quality/Regulatory, including anticipating issues and providing legal perspective and advice that enables management to make business decisions
Negotiating, drafting and finalizing distribution agreements, supply agreements, clinical study agreements, research agreements, grant agreements, fellowships, charitable donation agreements, services agreements, sales agreements, healthcare provider consulting agreements and non-disclosure agreements; advising on business law issues including contract interpretation and requirements; advising on marketing initiatives; and providing perspective on various other legal issues and obligations.
Provide legal support to strategic alliance and acquisition agreement projects, including negotiation and drafting of definitive agreements and participation on due diligence and integration teams.
Managing litigation for the division, including non-competition actions, employment litigation and product liability and business litigation.
Assisting in the identification, selection and management of outside counsel to assure legal services are rendered to the corporation that are results-oriented, timely, competent, and cost efficient.

Demonstrated understanding of medical device public policy and healthcare industry developments, as well as the legislative and liability implications of business decisions.
Demonstrated experience advising business leaders regarding international legal issues.
Education/Experience Requirements
Juris Doctor from an American Bar Association approved Law School required
Must be currently admitted to practice law in at least one state in the United States
At least seven years of legal practice experience at large law firm or in-house, providing legal advice on a broad range of business issues required, with a preference toward candidates with experience in transactional work, mergers and acquisitions, and/or healthcare compliance.
