Purpose:

~ Responsible for legal representation and advice to Hyundai Motor America (HMA), Genesis Motor America (GMA), and Hyundai Motor North America (HMNA) departments and executives in the primary areas of transactional matters for assigned clients including, national sales, dealer development, fleet, fuel cell vehicles, service advertising, consumer and dealer communications, Team Connect reviews, affiliate services and risk management, plus ancillary training of employees and litigation support related to the foregoing areas. This position shall also serve as HMA’s Transactional Team liaison with the Purchasing Department.

 

Major Responsibilities:

~ Internal legal work pertaining to HMA, GMA & HMNA contracting terms, supplier, affiliate, and employee compliance issues, antitrust inquiries and new product development.

~ Review and negotiate documentation, draft such documents as the particular deal may require, including corporate resolutions, legal opinions, and all required agreements.

~ Advise and review procedures for compliance with governing law, including but not limited to state and federal privacy laws, licensing requirements, antitrust matters, DMV compliance, and applicable disclosure and reporting requirements.  Maintain current knowledge of recent developments in case law and changes to statutes and regulations.

~ Negotiate, draft, and/or review of HMA, GMA and HMNA supplier and affiliate/subsidiary contracts with a value or potential liability of $100,000 or higher. Train, advise and assist the Purchasing Department staff with review and negotiation of HMA, GMA and HMNA contracts with a value or potential liability under $100,000.

~ Assist the Associate General Counsel, Risk Management with risk management issues, special projects and task force assignments, as needed.

~ Serve as the Transactional Team liaison with the Purchasing Department, holding regular meetings to address issues, improve communications and streamline the purchasing process for our organization.

~ Provide legal advice concerning insurance and risk management matters affecting HMA, GMA and/or HMNA

~ Provide legal advice and oversight in litigation matters related to assigned HMA, GMA and HMNA clients.

~ As needed, draft corporate minutes, respond to state and federal government inquiries, and assist with training of attorneys within the Transactional/Risk Management legal team.

~ Continual training and education of employees and management in changing areas of legal requirements.

~ Assist corporate affiliates with legal matters upon request.

 

Authority:

~ Authority to negotiate contractual language for the company. 

~ Authority to provide legal advice to HMA, GMA and HMNA clients and determine compliance with applicable laws and policies

 

Education:

~ Bachelor’s Degree required.

~ Juris Doctor Degree required.

 

Related Experience:

~ Seven or more years legal experience including law firm and/or in-house position(s);

~ Strong contract, corporate and risk management experience.

~ Four to six years of supervisory experience preferred.

 

Skill/Knowledge:

~ High level of writing and negotiating skills

~ Knowledge of broad spectrum of business and legal issues and specific knowledge of auto distributor related issues.

~ Ability to interact effectively with individuals of varied backgrounds and skill levels

~ Ability to conduct legal research in a thorough and effective manner

~ Effective time management and work ethic

~ Ability to work independently and willingness to undertake substantial and diverse job responsibilities.

 

Certification required:

~ Admission to California Bar

 

Physical requirements:

~ Normal office duties
