A Senior Paralegal will have significant responsibility for the provision of day-to-day legal administration services to one or several clients. The Senior Paralegal must demonstrate an ability to work with general direction from attorneys or a Paralegal Manager and must be adept at juggling priorities for large and complex and/or multiple clients in order to meet regulatory and other deadlines based on changing client and department needs. In addition, the Senior Paralegal must demonstrate a good working knowledge of legal administration services typically provided to ETF and mutual fund clients.

What you will be responsible for

As a Senior Paralegal, AVP you will be responsible for:


  • Preparing board meeting materials (agendas, memoranda, resolutions, draft minutes, regulatory updates) and coordinating the preparation of board packages (e.g., PDFs, uploads to board portals) to board members and other interested individuals prior to board meetings.


  • Drafting board meeting minutes and resolutions for review by attorneys.


  • Preparing filings with the SEC (including annual updates to Registration Statements on Form N-1A, supplements, Form N-PX, Form N-CSR, information statements and proxy statements).


  • Mapping and updating disclosures and data on ProNavigator, a disclosure content management system.


  • Maintaining and adhering to corporate filings calendars and recurring board agendas.


  • Coordinating with clients, outside counsels, independent auditors, other State Street teams and other third-party fund service providers, including sub-advisers, with respect to fund issues. 


  • Working at the general direction of an attorney in the delivery of legal administration services to clients.


Participating as requested in special projects for which the issues and objectives are clearly defined.

Education & Preferred Qualifications


  • 8 – 10 to ten years of experience as a paralegal, with a majority of those years in the financial services industry.


  • Bachelor's degree. 


Additional requirements

  • Prior Investment Company Act of 1940 experience at an asset manager, other third party administrator or law firm required.
