Note: Only one position will be filled at either the Corporate Counsel or Senior Corporate Counsel level depending on qualifications of the selected candidate. Position can be based in Washington, Oregon, California or Idaho.



Senior Corporate Counsel/Corporate Counsel Opportunity Overview



As Corporate Counsel for Banner Bank you will provide legal advice and support on a range of legal matters relevant to the operation of the bank and its affiliated entities. Primary duties will involve advising internal clients on retail and commercial banking issues, as well as supporting corporate governance matters including Board of Directors activities. Additionally, the role may also support merger & acquisition activity and/or coordinate litigation matters with outside counsel.


As Corporate Counsel for Banner Bank you will be part of a team of attorneys and have the opportunity to:



  • Provide legal support for retail and commercial banking matters, including issues pertaining to deposit and credit relationships. Advise on a range of client-related agreements including, but not limited to, credit agreements, amendments, subordination agreements, guaranties, waivers and forbearance agreements.

  • Advise the bank in relation to a wide range of contracts, such as master service agreements, license agreements, other vendor contracts and non-disclosure agreements.

  • Coordinate a range of litigation matters and manage outside counsel representing Banner Bank in various jurisdictions.

  • Review and/or prepare, as applicable, the company’s annual proxy statement, 8-Ks, 10-Ks, 10-Qs, and other filings as applicable. Ensure compliance with SEC regulations and NASDAQ exchange listing requirements, in coordination with outside counsel as needed.

  • Offer legal support for merger and acquisition activities from time to time.

  • Develop and/or memorialize standardized procedures to support consistency and accountability.


Senior Corporate Counsel will also:



  • Manage outside counsel in relation to various litigation matters with minimal supervision.

  • Engage in strategic policy-making decisions affecting multiple areas of the organization.

  • Serve as subject matter expert (SME) in relation to one or more areas of expertise.

  • Proactively anticipate and mitigate potential legal issues and develop strategies to reduce potential risk and expense.



Hybrid Work Environment/Travel Requirements



Banner Bank’s Legal team is currently working fully remotely due to the COVID-19 pandemic. Following our return to the workplace, it is expected that the Corporate Counsel or Senior Corporate Counsel will be based in one of several principal office locations within Banner’s footprint (Washington, Oregon, California or Idaho). If desired, a hybrid arrangement of up to approximately half-time remote work may be possible. Following our return to the workplace, travel requirements would be infrequent, although travel to the greater Seattle area as frequently as once per month may be required if the successful candidate is based in another location.



QUALIFICATIONS



Education & Certifications




  • JD from an accredited law school required.

  • State Bar Admission(s) for one or more of the following states required: WA, OR, CA, or ID.                                         



Experience



Corporate Counsel



  • 6 or more years of legal experience required. Banking/financial services experience preferred.


Senior Corporate Counsel



  • 8 or more years of legal experience required. Banking/financial services experience preferred.

  • Exercise sound judgment and maintain appropriate discretion in relation to highly sensitive information.

  • Able to handle day-to-day inquiries with minimal supervision and determine when escalation of matters is appropriate.

  • Able to prioritize multiple projects while maintaining high quality work product. Possess organizational and planning skills.

  • Able to work effectively with colleagues at all levels of the organization and build respectful, trusting relationships.

  • Experience working with public companies as an internal or external client is preferred, but not required.
