Responsibilities:

This legal associate position provides substantive project management and paralegal support to the corporate secretary and securities department in the areas of entity corporate governance and record management, the company’s annual shareholders’ meeting, and related projects, as well as continuous improvement of supporting tools and processes. 

1. Annual Meeting of Shareholders.  Coordinate the annual meeting of shareholders, including representing legal on the internal planning committee and coordinating all vendor activities related to shareholder mailings, voting, and vote tabulation.  Develop and maintain close working relationships with vendors and the internal team; analyze and recommend solutions for technical and substantive issues; and take responsibility for, and document, compliance with all company and legal requirements. 

2. Entity-Level Corporate Governance.  Manage corporate governance activities, documentation, and record keeping for company subsidiaries – serving as primary contact for most geographic regions and external service providers.  This includes formation and governance documentation (minutes, annual meetings, elections and director and officer changes, delegations of authority, transaction approvals) for new and existing entities; coordinating with global affiliates, tax, and other departments to update records and document transactions. In addition, this person will respond to requests for subsidiary data; act as system administrator and technical expert for entity management software (GEMs); and train and oversee administrative assistant work on data entry/scanning of documents into the GEMs system and maintenance of corporate records files.  Responsible person for maintenance of archived corporate subsidiary records. 

4. Corporate Authority. Serve as an expert on authority to sign documents or approve transactions under the various entity governance documents.  Understand the authority to spend and authority to commit requirements of the Financial Responsibility and Accountability Policy (FRAP). Prepare delegations of authority, incumbency and other certificates, and legalized documents as needed by global customers.

 5. Section 16 Filings. Prepare Section 16 filings for filing with the SEC, in consultation with attorneys, including gathering stock transaction data from shareholder services, executive compensation, the corporate secretary group, third-party vendors, executives, members of the board of directors, and their financial advisors.  In consultation with an attorney, coordinate with external financial planners on matters relating to Section 16 filings and 10b5-1 trading plans. Prepare Section 16 filings using Wdesk software.  

6. State registrations.  File annual state registrations for U.S. legal entities.

Basic Qualifications:


  • Bachelor’s degree


  • Paralegal certification or at least 1 to 2 years of prior experience working in the legal department or working in a law firm


Additional Preferences:


  • Excellent analytical skills and ability to assess risk and reach well-reasoned conclusions


  • Able to work on multiple complex projects, anticipate problems, identify solutions, and prioritize effectively


  • Excellent organizational skills and strong attention to detail


  • Strong interpersonal as well as excellent oral and written communication skills


  • Excel in building and maintaining working relationships with clients and serving as a liaison between the legal department, foreign affiliates and agents, various company departments, and third-party vendors


  • High learning agility and commitment to continuous improvement


  • Experience in a law firm or legal department and with governance documentation and record-keeping for legal entities


  • Experience with legal entity management software, particularly GEMs


  • Experience with legal reporting systems and tools, including NYSE Listing Manager and Wdesk


  • Thorough understanding of the legal and technical principles, theories, and concepts in business organizations


  • Experience in legal research and analysis
