A Senior Contracts Manager, Commercial Counsel needed for a full-time, staff opportunity with Day & Zimmermann located in Philadelphia, PA. The Senior Contracts Manager, Commercial Counsel helps mitigate business and legal risks by reviewing and modifying clients' contractual documents. Communicates, implements and ensures compliance with company's risk management policies. Helps minimize the risk of loss of the corporate assets while ensuring that our internal customers are able to win the work - ensuring appropriate risk/reward balance. Provide training and process improvements regarding contract review and negotiation


The Work You'll Be Doing:


  • Analyze external clients' contractual documents and modify as need be to ensure compliance with company's corporate risk policy

  • Negotiate with external client over revisions to clients' contractual documents.

  • Advise internal clients on business and legal risks inherent in contractual clauses that do not comply with corporate risk policy. Upon business leaders' willingness to accept same, draft Risk Assessment for review and approval of Yoh leadership.

  • Evaluate insurance requirements for all contracts and consult with company's broker to determine insurance needs.

  • Assist in training of Yoh field personnel when necessary.

What You Need to Bring to the Table:


  • Juris Doctorate

  • Minimum 3 years negotiating contracts

  • ASA certification preferred

  • Experience in the staffing industry preferred

  • Great attitude and team player.

The Big Picture - Top Skills You Should Possess:


  • Experience negotiating contracts based on US law; strong negotiation and customer service skills.

  • Knowledge of U.S. contract law, plus familiarity with the staffing industry. U.S. Government Contracts and international Contracts experience is a plus.

  • Experience with Microsoft office programs, including SharePoint, Outlook, PowerPoint, and Word programs.

  • Strong writing and verbal communication skills (in English), strong multi-tasking skills, ability to work with a diverse group of people, often in stressful and fast-paced situations, ability to influence others, and strong interpersonal skills and political acumen.

  • Ability to read, write and comprehend detailed, complex contractual documents.

Must be able to perform the following physical and mental tasks:


  • Visual acuity (e.g., needed to prepare and analyze data, to transcribe documents, to view a computer, to read, to inspect objects, to operate machinery.

  • Manual Dexterity (e.g. picking, pinching, typing, or other working that uses fingers)

  • Ability to read complex documents in the English language.

  • Capacity to reason and make sound decisions.

  • Ability to write complex documents in the English language.

  • Capacity to express thoughts orally.

  • Ability to regularly perform all job functions at Company's office or worksite.

  • Ability to manage stressful and fast paced situations in a professional manner)
