Position Description
The Director of Mergers and Acquisitions provides financial, analytical and organizational support to Head of M&A in the evaluation and execution of strategic acquisitions, collaborations and investments. S/He is responsible for acting as Business Partner to selected Regions and Franchises, working collaboratively with the leadership teams in those businesses to identify and prioritize M&A leads and opportunities. The ideal candidate possesses strong experience in analyzing companies and markets, communicating effectively (written and oral) and building relationships internally and externally, preparing financial models and valuation analyses, and leading teams on acquisition due diligence. The Director reports to the Vice President, Mergers and Acquisitions Frank Ferrante and is based at the Company's Secaucus, NJ, headquarters.
Key Accountabilities
Builds a deep understanding of Clinical Lab business and Clinical Franchises
Supports Business Development strategic planning initiatives through the researching and monitoring of companies of strategic value to Quest's growth plans; responsible for preparing pro forma financial analyses to screen and evaluate acquisition opportunities
Acts as business partner to South and Southeast Regions and Wellness, PDM and Sports Diagnostic Franchises: Works collaboratively with commercial and operations leaders to identify and evaluate potential M&A opportunities, and provide support on prospecting, meetings and development of business case for identified targets
Contributes to Business Development activities by preparing presentations on proposed acquisitions, strategic investments and alliances for senior management review; Also supports preparation of Board materials relating to M&A activities, pipeline, etc.
Assists M&A head in coordination and management of key internal and external activities within the transaction execution process such as due diligence meetings and Business Development Committee updates; responsibility for development of standardized templates for due diligence and integration planning that can be used by the various Quest business units in the execution of transactions
Works in partnership with cross-functional teams across the organization on the due diligence
Maintains Deal Pipeline Report and other similar reports that are used to organize the Business Development group's activities and to communicate with senior management
Requirements
BA/BS in Finance, Economics or related field
Proficiency in Microsoft Word, Excel and PowerPoint as well as Internet/Web applications
Strong financial modeling and analytical skills
Excellent writing and communications skills
At least 7+ years in Finance or Investment Banking field, with M&A transaction experience preferred
Healthcare industry knowledge preferred but not required
In-depth working knowledge of company valuation methodologies including comparable company trading multiples, precedent M&A transaction multiples, and discounted cash flow valuation
Experience in building financial models to evaluate the financial impact of a given transaction on the parent company's earnings (i.e. accretion/dilution), balance sheet, and cash flow
Excellent communications skills
Facility in analyzing companies across a wide range of industry subspecialties including lab services, healthcare information technology, insurance, clinical trials, and molecular diagnostics / in-vitro diagnostics
Ability to juggle multiple projects simultaneously and to work well with different cross-functional teams within the organization
