Patriot is seeking a personable, energetic, and highly motivated corporate attorney to join one of the most dynamic corporate teams in the industry.  The successful candidate will leverage his or her legal expertise to help execute on Patriot’s robust acquisition pipeline as well as respond to the unique and interesting legal issues that affect Patriot and its business.  This newly created position within Patriot will report directly to the Senior Vice President and Chief Corporate Counsel of Patriot.  This is an excellent opportunity for an attorney seeking a flexible and collaborative work environment, high professional growth potential, and the ability to make an immediate and meaningful impact in helping to build and support an early stage, high-growth company.

Core Responsibilities


  • Perform or assist in performing the legal aspects of Patriot’s acquisitions from NDA through closing and integration, including negotiating and drafting definitive transaction documents, performing legal due diligence, advising Patriot’s leadership on legal issues, and assisting in integration post-closing.

  • Review, draft, and negotiate commercial contracts, including insurance carrier contracts, vendor contracts, insurance broker contracts, office leases, and client service agreements.

  • Assist in corporate governance matters, including entity formation, equity issuances and transfers, and board consents.

  • Assist in claims and litigation matters.

  • Advise business leaders across the United States on a wide range of legal issues affecting Patriot and its business.

Requirements


  • Minimum of five years of practice as a corporate and transactions attorney in either a large law firm or corporate legal department (preferably a mix of both).

  • Bachelor’s degree from an accredited four-year university

  • Juris Doctor degree from an ABA accredited law school

  • Member in good standing of a state bar association within the United States

  • Willing and able to travel domestically, and possibly internationally, from time to time (travel currently restricted until further notice due to COVID-19).

  • Willing and able to work remotely/from home on a permanent basis.

  • Willing and able to work flexible hours, including evenings and weekends, from time to time as needed.
