Job Summary

Responsible for providing timely legal advice and services related to Zimmer Biomet’s (ZB) mergers and acquisitions (M&A), including contracts (drafting and reviewing agreements), due diligence on deals, and post-close activities. Collaborate with business partners to devise appropriate legal strategies associated with M&A activity.

Principal Duties and Responsibilities

· Provide legal support on various M&A matters, including drafting agreements, leading due diligence on deals, and assisting in post-close activities. · Draft, review, and revise transaction agreements (e.g., non-disclosures, purchase agreements, LOIs, etc.). · Lead due diligence process for M&A deals, including assessing and advising on contract status, legal risks, and the legal liabilities associated with different deals. · Manage internal and external deal process and drive continuous process improvements and scalability in deal execution. · Manage legal aspects of post-close integration efforts, including driving towards best practice processes and procedures. · Work closely and collaborate with Associate General Counsel VP, legal counsel for the business unit, Corporate BD, and outside counsel throughout the life cycle of each agreement. • Well organized, detail-oriented, with a high degree of professionalism, diplomacy, discretion and judgment. • Highly motivated, self-starter with demonstrated ability to deliver results within time constraints. • Demonstrated understanding of laws impacting medical device manufacturers, public policy and healthcare industry developments, as well as the legal implications of business decisions. • Demonstrated ability to address commercial, international or business transactional matters, within the life sciences, medical device or related industries. • Demonstrated ability to develop professional relationships with clients in which corporate goals and priorities are maintained without compromising legal integrity. • Demonstrated ability to work cooperatively with colleagues to leverage skills and knowledge within the legal division. • Demonstrated ability to establish and maintain credibility with both external partners and internal stakeholders at all levels of the Company including executive leadership and professional partnerships. • Demonstrated ability to contribute to a high performance culture through effective communication, leadership and a consensus-building approach with those at all levels and functions of the Company. • Demonstrated exceptional oral and written communication and presentation skills which highlight an ability to effectively reach a diverse audience at multiple levels within the Company and through various formats (i.e., teleconferences, face-to-face meetings, presentations, written proposals, reports and correspondence). • Appropriate competency in Microsoft Office Suite, and other standard workplace hardware and software applications.

Education/Experience Requirements

• Juris Doctor from an American Bar Association accredited Law School required. • Currently admitted in good standing to practice law in at least one state in the United States. • A minimum of 5 years of experience providing legal advice on a broad range of business issues with an emphasis on M&A.
