The IT M&A Strategy and Integration Director provides project management for integration of transactions including mergers, acquisitions, divestitures, joint ventures, and related activities. Reporting to the Head of IT Strategy, Planning & Operations, the individual will drive the IT M&A plan cross-functionally across the deal lifecycle by aligning requirements with functional teams in IT, HR, Finance, and other key areas. Deal lifecycle responsibilities will encompass leading due diligence, developing, and managing project plans, defining Transition Services Agreements, planning for Day 1 readiness, and post-close implementation program management. Owns IT integration strategy globally across all functions in IT.

Responsibilities


  • Directly owns operational and functional activities associated with IT specific integration of M&A (And Divestitures), including supporting functional due diligence, planning, implementation / execution, separation, integration and organizational restructuring activities in collaboration with subject matter experts in IT, HR, Finance, Operations and other key functions.

  • Develop and maintain IT M&A Playbook and strategy for integrations globally. Provide playbook, guidance, and templates to regional integration teams

  • Leads functional due diligence efforts globally by working directly with the IT functional teams to conduct target acquisition function analyses, prepare summary findings, and facilitate communications as needed. This includes providing integration cost estimates for all functions of IT.

  • Leads the operations of the IT integration PMO for each transaction including standing up governance, functional planning teams, and leadership reporting. The individual will directly partner with both internal and external partners to drive planning workstreams to completion and to plan/manage Day 1 Readiness activities.

  • Lead execution of the IT integration of acquired companies in the Americas region and oversight to those in EMEA and APAC, including the planning and execution of the IT integration plan within sophisticated business operational environments

  • Facilitate ongoing refinement and delivery of the methods and tools to be used by the integration/M&A teams in support of pre-deal analysis and post-merger integration activities.

  • Analyzes and documents program objectives and requirements across the organization. Facilitates activities across the functional and business teams to scope project, identify resource requirements, and articulate deliverables and develop timetables. Creates consolidated program milestones, interdependencies, and communication plans. Coordinates efforts of internal process owners and subject matter experts.

  • Applies tools and process for collecting updates across the integration team relating to progress on key activities, deliverable completion, issues, decision status, etc.; reviews data and identifies areas that require additional investigation and follow up with the business and functional teams as needed to further assess status. Consolidates data for review with integration PMOs and subsequently refines for executive reporting purposes. 

Qualifications


  • Exceptional project management skills

  • 20+ Years of industry experience

  • 10+ years of IT M&A due diligence and integration experience

  • Solid understanding of industry IT landscape on popular tools, systems, platforms, methods

  • Working knowledge of all areas of IT - InfoSec, Infrastructure, Systems, Architecture, Data Analytics.

  • Fundamental functional knowledge on HR, Legal, quoting, ordering, fulfillment, customer services, Billing, Finance

  • 5+ years of experience in running large IT programs such as CRM, ERP

  • Excellent written and verbal communication skills and demonstrated track record on presenting to business leaders and executives

  • Ability to facilitate and lead cross-functional workshops
