Senior Director, Tax Planning & Structuring

This position will be a key member of the Global Tax organization of Equinix and will report directly to Vice President, Tax. This role is responsible for global M&A transactions, corporate restructuring, REIT compliance, income tax planning, commercial infrastructure design of new products/services and major tax research. The ideal candidate needs to have a strong and diversified general tax background including knowledge and experience in tax research, global tax structuring and strategies, M&A involving multiple jurisdictions, and a working knowledge of accounting, tax accounting, and compliance requirements. REIT knowledge and experience is preferred. The candidate must exhibit strong analytical and critical capabilities, exceptional communication skills, excellent people manager skills and be able to explain/present complex issues in their simplest terms to executives and others with little or no tax experience. Experience in managing external advisors and employees is required with emphasis particularly on inclusive management skills. The individual should be passionate about working in a collaborative, energetic environment in support of functional groups both within and outside the global tax organization.
Responsibilities
Responsible for initiating and developing key tax strategies that facilitate major corporate business strategies
Responsible for feasibility analyses of various global tax initiatives that support the business strategies of Equinix and improve tax efficiency of the global businesses
Responsible for structuring M&A transactions, joint ventures, business reorganizations with reviewing, digesting and summarizing the advice provided by outside tax advisors
Responsible for tax DD on M&A, joint venture, corporate fund raising and other major transactions
Collaborate across corporate CAO and Finance organizations with respect to tax structuring impacting these functions
Review legal documents of M&A and joint venture transactions for tax related matters
Interact with senior management and investment professionals to help maintain and explain the tax efficient structuring of the Corporate operations
Manage resolution processes in addressing various significant tax issues arising as a result of the changing legislative environment, expansion of company business, M&A transactions and corporate initiatives
Manage REIT compliance related issues surrounding various transactions
Identify and rationalize tax related solutions in determining commercial infrastructure for new digital products/services
Manage special tax projects as needed
Coordinate with other tax functions (accounting and compliance for direct and indirect tax, and transfer pricing) to ensure alignment and compliance with SEC, statutory, and legislative requirements.
Qualifications
Bachelor's degree from four-year college or university (accounting and/or tax degree preferred)
Master’s in taxation degree, LLM in Tax, and/or CPA license highly preferred
15+ years plus working experience combining both technical and managerial exposures with BIG 4 and industries is preferred, 18+ years concentration on global tax M&A, global tax planning and structuring, tax research and general tax matters desired
Big 4, national or large regional public accounting or law firm experience
Obtaining good amount of REIT and datacenter Industry knowledge
Managerial experience in industry tax department or tax practice with Big 4 or large regional CPA or law firms
Strong analytical and critical thinking skills, with the ability to manage tax advisors
Excellent decision-making capabilities with thorough understanding of various drivers impacting the decision
Must be agile minded with the ability to pick up on critical matters in complicated situations
Must demonstrate the ability to efficiently and effectively communicate (both oral and written)
Must have a customer service mind-set and a team player mentality
Must have a positive, strong, proactive work ethic approach and demonstrate DIB mindset
Must have cross-functional working knowledge
Knowledge of REIT and REIT compliance matters is preferred
