TE has an exciting opportunity for an experienced senior commercial attorney, to be based in Greensboro, North Carolina . This is a general commercial and transactional in-house counsel position and will provide legal support primarily to the operations of the growing North America Automotive business. This position requires an individual capable of practical problem solving, adaptability, strategic forward looking thinking and exercising independent judgment and initiative, while upholding TE's core values of integrity, teamwork, accountability and innovation. The position is part of the Transportation Solutions commercial team within the TE Law Department and reports to the VP and General Counsel, Transportation Solutions.
RESPONSIBILITIES & QUALIFICATIONS
*Commercial matters: Draft, review, manage and negotiate a broad range of domestic and international commercial agreements, including sales, purchase, operations-related, licensing and service agreements. Familiarity with automotive industry is desirable.
*Compliance: Ensure compliance with applicable laws and TE policies (e.g. FCPA, Antitrust, labor etc.) through comprehensive compliance counseling and training for all levels of employees and management.
*Risk Management: Identify and help to mitigate legal risks affecting the business.
*Product Liability, Employment and Warranty Issues/Claims / General Commercial Litigation: Provide legal advice on potential product issues or quality claims, as well as on other typical types of commercial litigation, and, as necessary, interface with outside counsel on the litigation of such matters.
*Global & Business Unit Management support: Participation in appropriate global management meetings to provide valuable advice on strategic matters.
*Investigations: Investigate and take necessary actions to enforce compliance with laws and corporate policies.
*Collaboration across the TE Law Department: Collaborating on suitable projects or matters with members of other commercial and functional support teams of the TE Law Department across segments and regions.
*Dispute Resolution: Gather and review facts and information; provide preliminary opinion on exposure and risk assessment with recommendations for resolution.
*Due Diligence: Identify legal issues for acquisitions
*Publication Review: Review business publications, marketing material, etc., to reduce risk and ensure accuracy and compliance with TE policies and applicable law.
*General Advice: Provide general legal and practical proactive advice to the businesses, while being open minded and flexible.
*Law degree from an accredited U.S. law school and licensed to practice law
*At least six to ten years general commercial legal experience in a major law firm and/or multinational corporation
*Sound business and legal judgment, with the ability to balance business objectives and risks while resolving legal issues in a timely proactive manner
*Maintain calm composure in difficult situations
*Excellent contract drafting and negotiation skills
*Strong interpersonal, written and verbal communication skills with ability to work across diverse global cultures
*Ability to prioritize duties, work independently, understand different business cultures and manage multiple matters from start to finish with minimal supervision
*Exceptional attention to detail and excellent organizational skills
*Experience interacting with all functional areas of business at all levels, including senior management
*Highest degree of personal and professional integrity and ethics
*A team player who can work well with global colleagues and cross-functional teams
*Other language skills, in addition to English, are an asset
