Senior CounselRole/Responsibilities

Moody's seeks a highly qualified Senior Counsel to provide support to the Data Solutions and Know Your Customer (KYC) operating units of Moody's and handle partnerships and other strategic product-related transactions. This position will be based in one of Moody's offices located in New York City, NY, Charlotte, NC, King of Prussia, PA or Omaha, NE. The Senior Counsel position, which reports into Moody's Senior Counsel, presents an opportunity to provide business-critical professional services in an important and growing segment of the company. The Senior Counsel will provide legal, intellectual property, and regulatory support related to certain KYC's and/or Data Solutions' product offerings. Additionally, the Senior Counsel position will focus on drafting and negotiating technology and data transactions related to product development such as license, subscription and services agreements with Moody's sophisticated vendors and service providers. The successful candidate will draft and negotiate JV and partnership agreements with complementary technology, information and service providers, and participate in due diligence and integration efforts for acquired businesses.

Responsibilities will include:

  • Developing and maintaining contract templates to support partnerships, licensing and other product-related transactions. Handling drafting and leading negotiations relating to such transactions, including software and data licenses, SaaS product subscriptions and related service level agreements, maintenance agreements, professional services agreements and alliance partner/subcontractor agreements, conduit agreements, referral agreements, distribution and reseller agreements, and intercompany agreements.

  • Managing a large portfolio of data and software provider contracts that feed into Moody's products; and offering professional legal advice on a wide range of product-related issues impacting such contracts, including advising on contractual restrictions and permitted uses, development of new products, and product integrations.


  • Developing and maintaining contract templates to support the sale of products and services to Moody's customers, while providing support to product managers, sales and services organizations in a broad range of commercial transactions.

  • Supporting and carrying out Moody's business policies and practices, including preferred contract terms and compromise positions; developing guidance documents, gaining familiarity with and observing compliance policies such as anti- bribery, economic and trade sanctions and competition law policies; navigating privacy and information security issues arising from partnerships and other transactions related to Moody's products; and observing Moody's policies in the preparation and conclusion of contracts. The successful candidate must also have the ability to explain these policies and procedures clearly to others and provide related training.

  • Working closely with the company's other in-house lawyers, sales operations and finance staff, as well as product management, support and delivery teams in KYC and/or Data Solutions, including providing guidance regarding contracting practices.

  • Navigating counterparty bureaucracies and working to effectively close deals in a timely manner on acceptable terms to Moody's.

  • Complete special projects and/or provide guidance on other corporate projects and initiatives as needed.

Required Qualifications

  • Law degree from top tier law school

  • Member of a State bar in good standing

  • 5-7+ years total legal experience, of which: (i) at least 3 years of which are in a law firm, with a practice focused on IP licensing/tech transactions, corporate, securities, capital markets, financial services, M&A or other transactional based work; and (ii) the remaining years of experience are either with a law firm or with an in-house legal team, preferably with a technology, professional services or financial services company

* Exceptional communication and interpersonal skills, and a strong team orientation; ability to communicate confidently with senior management on complex legal and contractual issues


  • Strong analytical and writing skills

  • Strong contract drafting and negotiation skills and a sound understanding of various types of software licensing and services transactions, subscription-based business models and familiarity with software revenue recognition principles

  • Experience in technology / software company and in transactional and technology licensing.

  • Hard working, well organized, detail-oriented and process-driven candidates who have a demonstrated ability to work independently and manage a diverse workload under demanding deadline pressures

Preferred Qualifications

  • Prior experience serving as product counsel for data and/or cloud based software products.

  • Experience advising on transactions involving artificial intelligence and machine learning.

For US-based roles only: the anticipated hiring base salary range for this position is 160,100 - 232,100, depending on factors such as experience, education, level, skills, and location. This range is based on a full-time position. In addition to base salary, this role is eligible for incentive compensation.
